1. Remove the plastic latch surround by removing the two plastic clips.
2. Remove two torx bolts holding latch in place.
3. Remove plastic hand grabs and a couple plastic clips. This will allow the trunk lid cover to be moved enough for access.
4. Disconnect the emergency trunk release.
5. Disconnect the lock release cable "arm"- there is a small rotating clip on the end of the cable.
6. Release the grey connector. It is the "squeeze" type.
7. Reverse sequence.
Bought the component from Gaudin Las Vegas on eBay. This was a 2 day delivery, even with their base shipping option.
Enjoy!

Mag:
Thanks for the pictures and instructions.
I'm curious as to why you changed out the latch. In my case, the trunk will mysteriously open on its own and set off the alarm. This occurs randomly, and now more frequently, when the trunk is heated during the day by the sun. Otherwise, the latch works without issue. I assume that one of the microswitches in the latch is going bad. The latch was replaced at 52K miles under warranty, but my sense from reading posts on the forum is that this is a not-uncommon failure. I suspect I'll have to spring for a new latch.

When closing trunk it would require 3 slams to latch (with no help from electric closer). Worked perfectly after replacement.
This was on 2004 VDP in radiance red, no trouble with the 05 super v8.
Thanks

John:
I hope this solves your problem. I have not been so fortunate to date. My alarm goes off randomly, but only when the sun is shining on the car. It never goes off at night or on cloudy days. Most of the time the trunk unlatches as well, but not always. I mistakenly assumed sunshine = heating = faulty microswitch in trunk unlatch = trunk unlatch = alarm with door unlock. Unfortuantely, installing a new trunk latch made no difference. I still get random alarms when parked in the sun. To make things even more puzzling, I opened the left rear door once and the trunk unlocked! BTW, in looking very closely at the trunk latch, I could see no way to gain access to the microswitches for a DIY repair.
The issues with my car may be unique, based on what I have been able to glean from the forum. By way of background, the car spent several weeks at the dealer a few years ago as they, the West Coast rep, the US rep, and a factory rep tried to figure out why the alarm system would not arm. After reflashing the front and rear ECMs plus other undocumented changes, they solved the problem, although the mirrors didn't and still won't auto fold, another problem they tried to resolve.
