Thanks for all of the good advice. I talked to a dealer here in Illinois today and they can get it done for about $275 -- key cut and remote.
I have read stories how you can get a replacement key and it will not work. I take it that the key has something buried inside the key behind the jag emblem or in the key shaft. Is this true, because if so, i will need to test it out at the dealer before leaving.

Yes Serb the 2001 XJ has a key transponder module in the car, also the key, if you look at the very end, you will see a little rough spot - that is the transponder, basically a chip. That is why it needs to be programmed. If you have two working keys, you can programme the keys yourself, if not, you have to pay dealer to do it. Again, make sure you have all keys and remotes when you go to the dealer so they can make sure they programme everything at the same time and also that everything works when done.

[align=left]So it has to absolutely begin with two known keys? I just bought a (beautiful!!) 2000 XJR but the dealer only had one key and remote. He was able to get two new keys from Jaguar for me (remotes are on the way from another source) but obviously the keys need to be programmed.
When I called the Jag dealer they wanted $513.00 for one key and remote, plus the cutting, programming, etc. Is there any other way to accomplish this with one known key?
Also, is there any way for me to learn what the service history on this car is?

Programing method worked just fine. Here is the e-mail that I received:
Start the car with known good key, shut off and remove as soon as it starts, put in next known good key and repeat followed by other two keys. 1,2,3,4. All keys should then start vehicle.

Not sure about programing with one key. The remotes are easy and can be done even if you don't have any to start with. There are two styles for the XK8/R. Make sure you get the earlier one with the squared shoulders. I bought one on EBAY for $25.00. Put new batteries and programed it. Basically, open the door, hold the high beam flasher in flash mode and while still holding it, insert key and turn to position 1. Then flash about 4 or 5 times until you hear a chirp. Then push any button on the remote and go to the next remote and do the same.
The list price for a key is $80.00 which includes cutting. It is that much as it is the chipped style. From what I have heard, the dealer charges 1/2 hour to program a key which should be around $50.00 depending on your area.

that i bought the wrong one. i have the 03 to 06 model . it has an uncut key and the control together.

98 XJ8 remote programing
they say it's not to complicated.
they say you must open door, turn key from off to the first step turning key four times back and forth fairly quick. and will hear a chime at the 4th turn.
turn key to off . take key out close door and control should be working.
I tried doing the 4 off on and am not hearing a chime.
can some one help?
